Who we serve

E-commerce

Multi-state nexus, marketplace facilitator rules, inventory accounting and the sales tax registrations that accumulate quietly as you grow.

E-commerce creates tax obligations in places you have never visited, on a timetable you will not notice. Cross a threshold in a state in March and the obligation attaches then, not at year end, and not when somebody tells you.

The complication most sellers miss is that marketplace sales usually count toward a state's threshold even where the marketplace collects and remits the tax. You can be over the line, required to register, and unaware of both.

Where we help

  • Nexus analysis across every state you sell into: where obligations exist and when they started
  • California registration and filing, including district tax allocation
  • Marketplace facilitator analysis, which sales the platform covers and which remain yours
  • Inventory in third-party warehouses, which creates physical presence in that state
  • Voluntary disclosure agreements where registrations were missed
  • Inventory accounting and cost of goods sold that reflects reality
  • Channel-level profitability across marketplace, direct and wholesale
  • Returns, chargebacks and platform fee reconciliation

Common questions

Not answered here? Ask us directly: we would rather explain it than have you guess.

Amazon collects tax for us. Are we covered?

Partly. Marketplace facilitators generally collect and remit on sales made through their platform, but those sales usually count toward a state's economic nexus threshold, and if you also sell direct through your own site, those direct sales are entirely your responsibility. Many sellers are registered nowhere and liable somewhere.

Our inventory sits in Amazon warehouses. Does that matter?

Yes, and it is one of the more consequential facts in e-commerce tax. Inventory held in a state generally creates physical presence there, which means a registration obligation independent of any sales threshold. Because Amazon moves inventory between fulfilment centres without asking you, sellers routinely acquire physical presence in states they have never thought about. Your inventory event reports show where.

We should have registered in several states years ago. How bad is it?

Usually better than feared, provided you come forward first. Most states operate voluntary disclosure programmes that limit the lookback and abate penalties. Those programmes generally close once a state contacts you. Given that unfiled periods have much longer statutes of limitation than under-reported ones, the arithmetic strongly favours acting now.

Do we need to register in all fifty states?

Almost certainly not. Registration follows nexus, and nexus follows real thresholds and real presence. The right first step is an analysis of where you have actually crossed a line, which is frequently a handful of states, not fifty. Registering everywhere creates fifty filing obligations and fifty chances to file late.
